Terms & Conditions

By using any product or service from Ergovance AI Solutions ("Ergovance"), you agree to be bound by these Terms. If you do not agree, you may not access or use our services.

Ergovance offers:

• ErgoLIMS: Laboratory information management for regulated testing laboratories
• ErgoSage: A self-hosted AI product-expert platform
• ErgoTalk: Self-hosted team communication (in development)
• Custom software built to the same engineering standard
• On-premise, private-cloud, and SaaS deployments

We collect limited personal and organizational data required for functionality, including:

• Name, email, contact details
• Organization and user activity
• Uploaded documents (securely encrypted)

We handle personal data in line with the Digital Personal Data Protection Act, 2023. Refer to our Privacy Policy for full details.

• SaaS Clients: Payment is due monthly or annually as per the subscription plan. Late payments may result in restricted access.
• On-Premise Clients: Full payment is required before license activation. No partial or deferred payments are allowed unless agreed in writing.
• AMC & Upgrades: Must be prepaid. Missed AMC renewals may result in service suspension.

• SaaS Plans: No refunds once billing starts. You may cancel anytime; service will remain active till the billing period ends.
• On-Premise: No refund once the product is activated or license is issued.
• AMC Contracts: Must be cancelled 30 days before renewal. No mid-term refunds.

All products, designs, source code, AI models, and documentation are the sole intellectual property of Ergovance AI Solutions.

Clients are granted non-transferable, limited usage rights under their license.

Any customizations or integrations are co-owned only if explicitly stated in a signed agreement.

• Ergovance is not liable for damages caused by data loss, server failure, improper usage, or third-party integrations.
• Our total liability shall not exceed the amount paid by the client in the previous 12 months.
• Clients are responsible for backup, access control, and compliance checks in on-premise deployments.

Our services are intended for business use by individuals aged 18 years and above, acting for themselves or on behalf of an organisation.

Our platform is built to align with:

• DPDP Act, 2023
• ISO 27001 information-security principles
• NABL, ISO/IEC 17025
• 21 CFR Part 11 electronic-record principles

These are standards and frameworks our software is engineered to align with. They are not claims that Ergovance itself currently holds certification against them. Clients remain responsible for ensuring their own use meets their regulatory obligations.

Ergovance reserves the right to suspend or terminate access in case of:

• Violation of these terms
• Non-payment
• Security or compliance risks

Upon termination, client data may be retained for up to 30 days unless otherwise requested in writing.

These Terms shall be governed by the laws of India, with jurisdiction under the courts of Kerala, India. Our products and services are currently offered in India only; we do not market or sell them outside India at this time.

We may revise these Terms from time to time. Continued use of the service implies acceptance of the updated Terms.
